These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and MicroWeb Labs LLC ("MicroWeb Labs", "we", "our", "us"), a limited liability company registered in the State of Wyoming, United States of America.
By accessing our website at microweblabs.com, creating an account, or using any product within the MicroWeb Labs suite, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms. In that case, "you" refers to both you individually and the organisation.
If you do not agree to these Terms, do not use the MicroWeb Labs platform. Your continued use following any update to these Terms constitutes acceptance of the revised Terms.

MicroWeb Labs provides a suite of integrated digital business tools for African entrepreneurs and SMEs. The Services include, but are not limited to:
We reserve the right to modify, enhance, deprecate, or discontinue any feature or Service component at any time. We will provide at least 30 days' notice before discontinuing any paid Service feature that materially affects your use of the platform.
To access the Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Paid subscriptions grant access to premium features within the MicroWeb Labs suite. Current pricing is published on each product's pricing page and is denominated in Nigerian Naira (NGN) for Nigerian customers.

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing period — you retain access to paid features until that date. We do not provide prorated refunds for partial billing periods.
Refund exceptions: If you experience a verified service outage exceeding our uptime SLA in a given billing period, you may request a prorated credit to your account. Requests must be submitted within 14 days of the outage. We reserve the right to issue account credits in lieu of cash refunds.
MicroWebly offers a permanent free tier ("Build") with no time limitation. Other products may offer time-limited free trials at MicroWeb Labs' discretion.
You agree to use the MicroWeb Labs platform only for lawful purposes and in accordance with these Terms. You must not use the platform to:
Violation of our Acceptable Use Policy may result in immediate account suspension or termination without refund, and we reserve the right to report violations to the appropriate authorities.
You own your content. Any websites, emails, courses, products, data, or other material you create, upload, or publish through the MicroWeb Labs platform remains your property at all times.
By using the platform, you grant MicroWeb Labs a limited, non-exclusive, royalty-free licence to host, store, transmit, and display your content solely as necessary to provide the Services to you. We do not claim ownership of your content and we do not use it for any purpose beyond service delivery.
The MicroWeb Labs platform, including all software, code, design, user interfaces, trademarks, service marks, logos, product names, and documentation, is the exclusive intellectual property of MicroWeb Labs LLC and is protected by applicable intellectual property law in Wyoming (USA) and Nigeria.
Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Services for your own business purposes. This licence does not grant you any ownership rights in the platform or any of its components.
The MicroWeb Labs name, the suite product names (MicroWebly, MicroHostly, MicroMaily, MicroAgently, MicroTrainly, MicroStorely, MicroLensly), and associated logos are trademarks of MicroWeb Labs LLC. You may not use these marks without prior written permission.
Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with the Services ("Confidential Information"). This includes business data, technical details, pricing arrangements, and any information marked as confidential.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of the Confidential Information; or (d) is required to be disclosed by law or regulation.
MicroWeb Labs commits to a 99.9% monthly uptime target for MicroHostly and the core platform infrastructure. Uptime is calculated on a rolling 30-day basis, excluding scheduled maintenance windows (communicated at least 48 hours in advance) and circumstances beyond our reasonable control.
In the event of verified downtime exceeding the 99.9% SLA threshold in a calendar month, affected subscribers are eligible for a service credit equal to a prorated portion of their monthly subscription fee for the affected period. Credits must be requested within 14 days and are applied to future billing cycles.
Service credits are the sole and exclusive remedy for uptime failures. MicroWeb Labs is not liable for any indirect, consequential, or business losses arising from service unavailability.
To the fullest extent permitted by applicable law, MicroWeb Labs LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of goodwill, arising from your use of or inability to use the Services.
MicroWeb Labs' total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to MicroWeb Labs in the twelve (12) months immediately preceding the event giving rise to the claim.
The Services are provided "as is" and "as available" without warranty of any kind, express or implied. MicroWeb Labs does not warrant that the Services will be error-free, uninterrupted, or free from harmful components.
You agree to indemnify, defend, and hold harmless MicroWeb Labs LLC and its officers, directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
You may close your account at any time through the account dashboard or by writing to support@microweblabs.com. Paid subscriptions remain active until the end of the current billing period.
We may suspend or terminate your account immediately, without prior notice, if:
Where termination is for cause, no refund of any prepaid subscription fees will be issued. Where we terminate for reasons other than breach, we will provide a prorated refund of unused subscription fees.
Upon termination, your right to access and use the Services ceases immediately. You will have 30 days to export your User Content before it is permanently deleted from our systems. Sections 8, 9, 12, 13, and 15 of these Terms survive termination.
These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.
Before initiating any formal legal proceedings, both parties agree to first attempt to resolve the dispute informally. You may contact us at legal@microweblabs.com with a written description of the dispute. We will attempt to resolve the matter within 30 days of receipt.
If informal resolution fails, disputes shall be submitted to binding arbitration in Wyoming in accordance with the rules of the American Arbitration Association (AAA). Both parties waive their right to a jury trial and to participate in class action proceedings. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Nigerian users retain the right to raise consumer protection complaints with the Federal Competition and Consumer Protection Commission (FCCPC) and data-related complaints with the Nigeria Data Protection Commission (NDPC), notwithstanding the arbitration clause above.
MicroWeb Labs reserves the right to update these Terms at any time. We will notify you of material changes via email to your registered account address and by posting a prominent notice on the platform at least 14 days before changes take effect.
Your continued use of the Services after the effective date of any revision constitutes acceptance of the updated Terms. If you do not accept the revised Terms, you must discontinue use of the Services and may close your account without penalty within the 14-day notice period.
